Terms of service

These terms govern the use of the Orbi platform by businesses (customers). They apply together with the privacy policy. By opening an account or using Orbi, the customer agrees to them.
01Provider and scope
Orbi is operated by Eduart Tuda, Oberfeldstrasse 95, 8408 Winterthur, Switzerland (sole proprietorship; details in the legal notice). Orbi is a service for businesses; consumers are not contracting parties.
These terms apply to every service of the platform, including the dashboard, the assistants on phone, WhatsApp and web chat, and optional connections to third-party services.
02Service
Orbi provides an AI assistant that answers enquiries for the customer, takes reservations, appointments and orders and – depending on the module – performs further tasks, for example answering reviews on the customer's Google Business Profile.
The scope follows the chosen plan and the customer's business type. Orbi may develop, add or discontinue features; material restrictions are announced in advance.
Connections to third-party services (such as Google, Meta/WhatsApp, Twilio) are additionally subject to those providers' terms and policies. The customer grants the necessary permissions and may revoke them at any time.
03Account and the customer's duties
The customer provides accurate information, keeps the credentials secret and reports any misuse without delay. The customer is responsible for actions under the account.
The customer uses Orbi lawfully and ensures that the data entrusted to Orbi (menus, knowledge entries, customer data, patient data) may be collected and processed, and informs their own customers where the law requires it.
Content published under the customer's name – in particular replies to reviews on their Google Business Profile – counts as the customer's own statement. The customer is responsible for it towards third parties and towards the platform operator.
04Automatic replies and AI content
The assistant's texts are generated by an AI language model. They may be incomplete or inaccurate. Orbi gives no warranty for a particular wording, correctness or effect.
For reviews, the customer chooses whether each reply is approved individually or published automatically. By choosing automatic publishing the customer gives express consent; what is published without prior review is the customer's responsibility like any own statement. The customer may edit or stop replies, or disconnect, at any time.
05Prices and payment
Prices follow the chosen plan as offered or ordered. Plans are billed monthly and can be cancelled monthly. Activation follows contact; there is no free trial without an agreement.
In case of late payment, Orbi may temporarily restrict the live channels after notice.
06Availability
Orbi strives for reliable operation but does not guarantee uninterrupted availability. Maintenance is carried out outside business hours where possible.
Orbi depends on third-party services (telephony, messaging, language models, Google services). Orbi is not responsible for their outages or changes.
07Liability
Orbi is liable for damage only in case of intent or gross negligence. To the extent permitted by law, liability for slight negligence, indirect damage, lost profit and consequential damage is excluded.
Orbi is not liable for content the customer approves or has published automatically, for decisions of third parties (such as Google moderating a reply) or for third-party services.
08Data protection
How Orbi processes personal data is described in the privacy policy. The business is responsible for its customers' data; Orbi processes it as a processor on the business's instructions. A data processing agreement is available on request.
09Term and termination
The contract runs for an indefinite term and may be terminated by either party at the end of a billing month. Orbi may terminate without notice for serious breaches of these terms.
After the contract ends, the account and all linked data are deleted within 30 days at the latest (privacy policy, retention section). Connections to third-party services are disconnected.
10Changes, applicable law and jurisdiction
Orbi may amend these terms. Changes are announced at least 30 days before they take effect; if the customer does not object by then, they are deemed accepted.
Swiss law applies, excluding its conflict-of-law rules. The place of jurisdiction is Winterthur, to the extent permitted by law.
